1. Agreement Overview
These Terms of Service ("Terms") govern the use of IT management, monitoring, and support services ("Services") provided by CoreLink IT Services LLC ("CoreLink," "we," "our," or "us") to business clients ("Client," "you," or "your").
By subscribing to or using our Services, you agree to these Terms.
2. Scope of Services
CoreLink provides remote-only IT support, system monitoring, and maintenance for client devices and networks. Services may include, but are not limited to:
- Remote desktop assistance and troubleshooting.
- Automated system health monitoring and alerts.
- Software patching and updates.
- Data backup and recovery assistance.
- Security and performance optimization.
All services are delivered remotely; CoreLink does not provide on-site support.
3. Client Responsibilities
Clients agree to:
- Provide accurate business and system information.
- Ensure that CoreLink has authorized remote access to managed systems.
- Maintain valid software licenses and security policies.
- Not use the Services for illegal or unethical activities.
Clients are responsible for obtaining proper consent from their employees or users whose devices may be monitored.
4. Service Access and Authorization
By engaging CoreLink, the Client grants explicit permission for authorized CoreLink technicians to remotely access, monitor, and manage designated systems and networks as required for service delivery.
Remote access will only occur through secure, authenticated methods and within agreed-upon schedules or support sessions.
5. Service Plans and Payment
Services are billed according to the subscription plan selected by the Client.
- Payments are processed via Stripe or another approved payment gateway.
- Subscriptions renew automatically unless canceled.
- Late or failed payments may result in suspension of Services.
All fees are non-refundable except as required by law.
6. Data Handling and Privacy
CoreLink handles all client data in accordance with its Privacy Policy, available on our website. Clients are responsible for backing up their own data unless a backup plan is included in their subscription.
7. Service Availability
We strive to provide continuous availability of remote support. However, we do not guarantee uninterrupted operation due to factors outside our control (e.g., internet outages, third-party service downtime).
8. Limitation of Liability
To the fullest extent permitted by law:
- CoreLink is not liable for any indirect, incidental, or consequential damages (e.g., data loss, downtime, lost profits).
- CoreLink’s total liability shall not exceed the total amount paid by the Client during the 12 months preceding the claim.
- The Client is responsible for maintaining backups and data recovery measures unless covered under their plan.
9. Termination
Either party may terminate the service agreement with written notice. Upon termination:
- All active monitoring and remote access will be revoked.
- Client data and backups will be securely deleted after 30 days.
- Outstanding invoices remain payable.
10. Confidentiality
CoreLink agrees to maintain confidentiality of all client information accessed during the course of providing Services and not to disclose it except as required by law or with written client consent.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United States, and disputes shall be handled in the appropriate state or federal courts.
